TTS Group is committed to strong corporate governance practices that promote accountability, transparency, and long-term value for our stakeholders. Corporate governance is “the structure of rules, practices, and processes used to direct and manage a company.” It encompasses our board oversight, management structure, policies and controls, and ethical standards. An effective governance framework ensures our company operates with integrity and in compliance with applicable laws and regulations. It also aligns the interests of employees, shareholders, and other stakeholders, and strengthens trust in our business.
Our Board of Directors provides critical oversight of the company’s affairs. The Board is responsible for setting strategic direction, approving key policies, and advising the executive team. In overseeing the company, the Board works to continuously improve our governance practices and uphold high ethical standards. Board members are selected based on diverse expertise and integrity.
Ethics and Compliance
At TTS Group, ethics and compliance are fundamental to our corporate culture. We expect all employees, officers, and directors to act honestly, fairly, and with integrity in every business interaction. We have a zero-tolerance approach to bribery, corruption, and other unethical conduct.

- Training & Awareness: Regular mandatory training programs ensure employees understand our policies and know how to raise ethical issues.
- Monitoring & Enforcement: Our Compliance Officer, supported by Internal Audit and Legal, reviews all reports, investigates potential violations, and implements corrective actions as needed.
